Terms of Service
The terms for using the Cuebird extension, its server, this website (cuebird.dev) and the Pro subscription.
Draft. This document was prepared before launch and is not yet in effect. Values marked {{ }} will be filled in once the operator details are settled, and the text will be finalised after legal review, with an effective date.
1. Operator and seller
Cuebird (the “Service”) is provided by the following operator (“we”, “us”):
- Legal name: {{Operator legal name}}
- Representative: {{Representative}}
- Business registration number: {{Business registration number}}
- Mail-order business report number: {{Mail-order business report number}}
- Address: {{Address}}
- Email: {{Contact email}}
The paid subscription (“Pro”) is sold by Paddle (Paddle.com Market Limited and its affiliates) as our merchant of record and authorised reseller. Your purchase contract is with Paddle, and the Paddle Buyer Terms apply to it. Paddle handles payment, tax calculation and remittance, receipts and refunds; we provide the Service and its support. Where these terms and the Paddle Buyer Terms differ on payment matters, the Paddle Buyer Terms govern those matters.
2. The service
The Service is a browser extension, with a supporting server, that shows original and translated subtitles together over videos, web articles and your own files, and provides language-learning tools such as word lookup, a study panel, shadowing, dictation, cards and quizzes.
- Study features are free. Features that use our server, such as server translation, server dictionary lookups and AI sentence explanations, have a daily allowance.
- Pro raises the allowance for server features and adds features such as server transcription of your files. Current features and limits are described on Pricing and in the extension.
- The Service runs on top of third-party platforms such as YouTube and Netflix. If those platforms change their pages or how they deliver subtitles, some features may stop working for a while. We are not affiliated with these platforms, and you remain responsible for their subscriptions and terms.
3. Your account
- You create and sign in to an account with a one-time code sent by email. Use an email address that is yours and accurate.
- You are responsible for your email account and the devices you’re signed in on. Don’t share or transfer your account.
- You must be at least 14 years old (at least 13 in the US) to create an account.
- You can delete your account at any time in the extension’s settings. Deleting the account may not cancel an active subscription automatically, so cancel the subscription first.
4. Acceptable use
You must not:
- send automated bulk requests to our server, or work around daily allowances or plan limits;
- attack the server, disrupt its normal operation, or access areas you aren’t authorised to;
- sell, rent or share your account or Pro benefits, or resell the Service;
- use the Service to copy or distribute copyrighted works without permission, or to circumvent copy-protection technology;
- use someone else’s email or account, or otherwise break the law.
Videos, subtitles and articles belong to their rights holders. The Service doesn’t download or modify video streams, and you should use it for personal study.
5. Subscriptions and automatic renewal
- Pro is sold as a 1-, 3- or 12-month subscription. Prices are shown at checkout in your local currency, with applicable tax.
- Your subscription renews automatically for the same period at the end of each period until you cancel, and the price in effect at renewal is charged through Paddle to your payment method on file.
- If a renewal payment fails, Paddle retries it. We keep Pro active for 7 days from the failure; if payment isn’t completed in that time, the subscription ends and the account becomes a free account.
- Discount codes apply under the conditions stated for each code (duration, number of uses, eligibility).
6. Free trial
- Each account can try Pro free for 7 days, once. No payment method is required, and nothing is charged when the trial ends.
- When the trial ends, the account returns to a free account automatically. To keep Pro, you subscribe yourself.
- To prevent repeat trials, we keep a hash of the email address that started the trial, even after account deletion (see Privacy).
- Promo codes we issue can extend the trial. We set the conditions of each code and may void codes obtained or used fraudulently.
7. Cancellation
You can cancel at any time in the extension’s settings → Plan & usage → Manage subscription (Paddle’s customer portal). After you cancel, no further renewal is charged and Pro stays active until the end of the period you’ve paid for. Cancelling doesn’t by itself refund the rest of the period; refunds follow section 8.
8. Refunds and right of withdrawal
Refunds and withdrawals follow our Refund Policy and are processed by Paddle. Your first subscription payment is refundable if you ask within 14 days of paying. Nothing in these terms limits withdrawal rights you have under the law that applies to you, such as Korea’s Act on the Consumer Protection in Electronic Commerce or EU and UK consumer law.
9. Price and service changes
- We may change Pro prices. We’ll email you at least {{30}} days before a price increase, and the new price applies from your first renewal after that notice. You can cancel before then.
- We may change, add or remove features to improve the Service. If we reduce a core Pro feature, we’ll tell you in advance, and you may cancel and ask for a refund for the remaining period.
10. Suspension and termination
- If you breach these terms, we may warn you, limit features, or suspend or delete your account, depending on the breach. Except in urgent or serious cases, we’ll tell you why first and give you a chance to respond.
- If your account is suspended or deleted for a serious breach, the remaining subscription period is not refunded, to the extent the law allows.
- If we shut down the Service entirely, we’ll give at least {{30}} days’ notice and refund the unused part of any paid period through Paddle.
11. Ownership
We own the rights to the Service’s software, design, name and logo. The cards, notes and word records you create are yours; we process them only as needed to sync them and provide the Service.
12. Disclaimer
To the extent the law allows, the Service is provided “as is”. Machine translations, dictionary results and AI sentence explanations are generated automatically and may be wrong or inaccurate. We don’t guarantee that the Service will work without interruption or on every platform and video.
13. Limitation of liability
Except for intent or gross negligence, we are not liable for indirect, special or consequential damages or lost profits arising from use of the Service. Our total liability to you is limited to the amount you paid for Pro in the 12 months before the damage occurred. This section doesn’t apply to any liability that can’t be limited or excluded by law.
14. Privacy
What we store, where, and for how long is described in Privacy. Payment details are handled directly by Paddle.
15. Changes to these terms
We may change these terms within what the law permits. We’ll post the change and its effective date on this site at least {{7}} days in advance, or at least {{30}} days in advance and by email if the change is unfavourable to you. If you don’t accept the new terms, you can cancel your subscription and delete your account before they take effect.
16. Governing law and jurisdiction
These terms are governed by the laws of the Republic of Korea. Disputes relating to the Service fall under {{Competent court}} as the court of first instance. If you are a consumer, this doesn’t take away the protection of mandatory laws of your country of residence or your right to bring proceedings in its courts.
17. Contact
Send questions about the Service or these terms to {{Contact email}}. For payment and receipt questions, you can also reply through the receipt email Paddle sent you.
